Unlike freelancers, who may use a simplified income-surplus calculation (EÜR), corporations are governed by the German Commercial Code (HGB), which mandates full double-entry accounting.

What is double-entry bookkeeping?
Double-entry bookkeeping records every transaction on two accounts simultaneously: debit and credit. The word "double" describes exactly that: a single invoice always touches at least two accounts, and the debit total must equal the credit total. This makes the books self-checking: if the balance sheet doesn't balance, there's an error somewhere.
An example: you issue a sales invoice for €1,190 gross (€1,000 net plus €190 VAT). Once the customer pays, your bank balance rises by €1,190 (debit), while €1,000 is booked as revenue and €190 as VAT (credit). At year-end these bookings flow automatically into two statements: the balance sheet (assets, liabilities, equity) and the income statement (P&L).

Who must keep books?
Under §238 HGB, all merchants (Kaufleute) must keep accounts, and every GmbH and UG is automatically classified as a merchant (Formkaufmann) by its legal form, regardless of revenue. For corporations there is no revenue or profit threshold at which the duty "kicks in": it applies from the first euro.
Sole traders and civil-law partnerships (GbR) may use the EÜR as long as they stay below the §241a HGB thresholds, which the Growth Opportunities Act raised significantly for financial years from 2024.

What does ongoing bookkeeping involve?
Ongoing bookkeeping for a GmbH is more than sorting receipts. The monthly baseline includes:
- Posting all transactions to ledger accounts per the chart of accounts (SKR03/SKR04).
- Document capture: every booking needs a source document: no booking without a receipt.
- VAT pre-return (UStVA) filed monthly or quarterly to the tax office.
- Payroll, as soon as you have employees or an employed managing director.

Annual statements and size classes
Every financial year ends with the annual statement of balance sheet and P&L (§264 HGB). How detailed it is, and whether notes are required, depends on the size class. The thresholds were raised by around 25% in April 2024 and already apply to financial years from 2023.

In practice almost all UGs and many young GmbHs qualify as a micro-entity: they only deposit their balance sheet with the company register (rather than publishing it in full) and need no notes. The size class applies once two of the three criteria are met on two consecutive reporting dates.
GoBD: storing receipts correctly
Germany's GoBD regulations set strict rules for how documents must be archived: immutable storage of digital records, guaranteed readability, and a traceable data access for tax audits. A folder of scanned PDFs on your desktop does not meet the standard; compliant software is mandatory.
Important for 2026: the Fourth Bureaucracy Relief Act shortened the retention period for accounting documents from 10 to 8 years (§257 HGB, §147 AO), applying to documents whose period was still running on 1 January 2025. Other records stay at 10 years.

With a tax advisor the deadline for the tax returns extends considerably: for the 2025 year until the end of February 2027. The UStVA deadline is unaffected.
What happens if you don't comply?
Neglecting the bookkeeping obligation risks more than a warning. If documents are missing or the books are not orderly, the tax office may estimate your profit, usually to the company's disadvantage. For late disclosure of the annual statements, the Federal Office of Justice imposes an administrative fine starting at €2,500 (up to €25,000), repeated if the delay continues. Yes. The UG (haftungsbeschränkt) is a variant of the GmbH and therefore a merchant by legal form. It must keep double-entry books and prepare annual statements from day one; the lower share-capital requirement makes no difference.
