Starting a JDG or an sp. z o.o. with Norman
How Norman helps you prepare a sole proprietorship (CEIDG data, PKD code, ZUS choice, a PDF plan) or a limited company (S24 or a notary, board documents), and what you file yourself.
Updated
If you are just starting a business, Norman walks you through preparing your data. It does not file applications for you: you complete the registration in CEIDG or the KRS system.
Start with the start questions: in What describes you best? choose I am starting a business. If you already have an account, the company owner finds the registration card under Account → Personal, as long as the company has no NIP.
JDG: preparing your CEIDG data
Norman asks its questions in steps: you, addresses, business, taxes and signature, then a review. Each question comes with a tip and an example.
- PKD code: search for your code in the PKD 2025 classification. The PKD code alone does not set the ryczałt rate.
- ZUS: the ZUS help suggests which ZUS registration form to check, based on your answers.
- JDG start plan: with Download JDG plan (PDF) you get a plan with your data for the CEIDG-1, the ZUS registration, the VAT-R and the e-Doręczenia address. It is a working aid, not a CEIDG-1 application.
Then click Open CEIDG registration, copy the data across, sign and submit the application. The data is not passed to CEIDG automatically. You enter your PESEL and ID document details in CEIDG, not in Norman. Once your entry is published in CEIDG, confirm it in Norman. Norman does not check the entry in the register.
Sp. z o.o.: S24 or a notary
Choose Open a sp. z o.o.. Norman collects the data in steps: company, business, capital and shareholders, board and registration.
- S24: you form the company in the S24 system on the model articles, with cash contributions.
- Notary: individual articles of association or contributions in kind need a notarial deed. The KRS application then goes through the Portal Rejestrów Sądowych.
Under Registration documents, click Generate documents. Norman prepares, for review and signature, the board member statements, the list of persons entitled to appoint the board and a draft board appointment resolution, among others, as PDF or DOCX. The share capital of an sp. z o.o. is at least PLN 5,000 (art. 154 § 1 KSH).
The prepared documents are neither articles of association nor a KRS application, and nothing has been sent to the register.
After registration
Once you have confirmed the entry, click Save in Norman. Norman moves your answers into the company and tax settings: the NIP, the company details, VAT, and the tax form and ZUS (JDG) or the CIT rate (sp. z o.o.). For a company you enter the NIP from its KRS entry. Answers marked “Still deciding” you complete later in the settings.
- File the VAT-R if you will be an active VAT payer, before your first taxable sale (art. 96 ust. 1 of the VAT act).
- A company reports its beneficial owners to the CRBR within 14 days of its KRS entry, not counting Saturdays and public holidays. Norman lists PCC-3, the shareholder's ZUS, the CRBR and the NIP-8 with their deadlines and files: see How to found an sp. z o.o..
- Set up an e-Doręczenia address.
- Fill in the tax office and KSeF token in Norman: see Getting started: a JDG in Norman or Getting started: an sp. z o.o. in Norman.
Norman is software. If you are unsure which legal form to choose, ask an accountant or tax adviser.
