How you start your company with Norman

Three steps from describing your idea to the duties after the KRS entry.

Describe your idea

Norman asks about the rest and builds your plan: S24 or a notary, capital, name, costs, tax and the first 90 days.

Sign the agreement and file with KRS

Online in S24 or with a notary. Norman prepares the board documents for signing, and you file the agreement and the application yourself.

Complete the duties after the entry

PCC-3, ZUS, CRBR and NIP-8 with deadlines and ready files. You file them in e-Deklaracje, eZUS and CRBR, and mark them as filed in Norman.

What you settle before registration

From choosing the route to the documents for the board.

01

S24 or a notary

S24 is a ready-made agreement with cash contributions only. With a notary the agreement can say what you need, contributions in kind included. Norman points out the route for your company.

02

Capital from 5 000 zł

One share is at least 50 zł. With a notary you pay in all of the capital before the KRS application; in S24, within 7 days of the entry.

03

Name, seat and PKD

A name ending in “sp. z o.o.”, which you check yourself in KRS. A seat, which decides your registry court and tax office. Your business activity in PKD 2025 codes.

04

Shareholders and board

How many shares each shareholder takes, who sits on the board and how it represents the company. The board is at least one person, a shareholder or someone from outside.

05

Board documents

Board member statements, the list of people entitled to appoint the board and a draft resolution, as PDF or DOCX. You sign and file the agreement and the KRS application yourself.

06

Deadlines for the KRS application

7 days from the agreement in S24 and 6 months with a notary. If the application does not reach the court in time, the company agreement is dissolved.

You pay the court fee, PCC and the notary's fee directly to the court, the tax office and the notary. Share capital is not a fee and stays in the company.

After the KRS entry. Deadlines and files in one place.

Norman shows each duty with its deadline and file. You file them yourself.

01

PCC-3: 14 days from the agreement

In S24 the company files the return and pays the 0.5% tax itself. Norman works out the tax and prepares the XML file. After a notarial deed the notary collects the PCC.

02

ZUS: 7 days from the entry

A sole shareholder registers as a contribution payer (ZUS ZFA) and for insurance (ZUS ZUA). Norman prepares the file for eZUS.

03

CRBR: 14 working days from the entry

You report the beneficial owners online only. Norman works them out from the shares and prepares the details for the report as a PDF.

04

NIP-8: 21 days from the entry

Additional details for the tax office: bank accounts and who keeps the books. Norman prepares the XML file.

05

KSeF and your first invoice

You issue invoices to businesses in KSeF, and the exception for up to 10 000 zł gross a month ends on 31 December 2026. Connect KSeF in Norman and issue your first invoice.

06

Books from the start

A company keeps full books from the start, also while in organisation. After the entry Norman moves your answers into the company and tax settings, so you do not type them twice.

Good to know

S24 or a notary?

S24 is enough when shareholders contribute only cash and need nothing unusual in the agreement. You need a notary for a contribution in kind or terms outside the template, for example a different financial year.

How much does it cost to start an sp. z o.o.?

With 5 000 zł of capital the mandatory costs are about 274 zł through S24 (a 250 zł court fee and PCC) and about 719 zł with a notary (a 500 zł court fee, the maximum notary fee with VAT and PCC), plus copies of the deed. The capital is not a fee: it stays in the company.

When do I pay in the share capital?

With a notary you pay in all of the capital before filing the KRS application. In S24 you have 7 days from the entry. The minimum is 5 000 zł, and one share is at least 50 zł.

How long does registration take?

The court has 1 day to decide an S24 application and up to 7 days for one after a notarial deed. The company comes into being on its KRS entry.

Does Norman check the company name?

No. Norman suggests available .pl and .com domains, and you check the name yourself in the KRS search. It must include “spółka z ograniczoną odpowiedzialnością” or “sp. z o.o.”.

Does Norman file anything for me?

No. Norman is software: it prepares the plan, the board documents and the files. You sign and file the company agreement, the KRS application, PCC-3, NIP-8, ZUS and CRBR yourself.

What happens after the KRS entry?

The company gets its NIP and REGON automatically. A sole shareholder registers with ZUS within 7 days, you report beneficial owners to CRBR within 14 working days, and you file NIP-8 within 21 days. You file VAT-R before the first sale with VAT, if the company will be an active VAT payer.

Does Norman help me choose the company type and tax?

The planner asks what matters most to you and shows the sp. z o.o. next to other company types. Your plan also shows the tax on CIT 9%. The choice stays yours, and Norman doesn't settle Estonian CIT.
